,We are seeking a smart, dynamic, and ambitious VP, Legal Counsel to lead Celtra’s Legal function from our New York City office. Reporting to our Co-Founder & CFO and partnering closely with our Founder & CEO, this role requires a highly collaborative legal business partner who is comfortable advising and influencing pivotal legal and commercial decisions that will shape the future of the company.
As Celtra’s senior legal leader, sitting on the Executive team, this individual will have full ownership of all contractual matters, while also overseeing intellectual property, privacy, compliance, employment, and corporate initiatives across the business.
Celtra is an AI-powered SaaS company enabling creative automation for the world’s most iconic brands and digital media companies, and you’ll be the go-to legal authority helping drive our next phase of growth. This is a rare opportunity for a commercially-minded, tech-savvy attorney who has already operated at a senior level within a SaaS organization and is now ready to step into the top seat.
Responsibilities:
- Serve as Celtra’s senior legal leader across all commercial, product, corporate, and privacy matters
- Architect scalable legal processes that support growth, improve execution, and protect the business
- Advise Founders and Executives as a trusted strategic partner, connecting legal risk to business strategy
- Lead all negotiation and execution of enterprise customer, partnership, and vendor contracts (MSAs, SOWs, DPAs, NDAs, etc.)
- Join forces with Sales leadership to move deals quickly through enterprise procurement processes
- Own privacy and compliance programs, including data mapping, privacy by design, privacy impact assessments, incident response, third-party vendor management, and related policies and trainings concerning data privacy under the GDPR, CCPA, and similar regulations
- Oversee third-party information security audits (SOC2), security questionnaires and compliance responses for enterprise RFPs, partnering tightly with Product, Engineering, and IT/Security teams
- Champion documentation, policy management, and education across the organization
- Actively collaborate with Product, Technology, Finance, and HR teams to provide proactive, actionable legal guidance
- Support M&A, corporate development, fundraising, and governance initiatives
- Manage outside counsel relationships
The Ideal Candidate Will Have:
- A JD and 10+ years of progressive legal experience, with a strong track record in the technology/SaaS space
- Significant in-house experience, including senior-level ownership of commercial contracting and privacy matters; hands-on experience negotiating B2B commercial agreements
- A demonstrated ability to position Legal as a strategic business partner and enabler of growth through experience supporting enterprise sales teams and working directly with security/product functions
- Deep experience negotiating complex, enterprise-level SaaS agreements, with fluency in both business and technical considerations
- Experience leading a small legal team, with the judgment to effectively delegate work (within Legal or cross-functionally) while ensuring completeness and high quality outcomes
- Ability to explain complex legal concepts to non-legal audiences
- Success operating in fast-paced, founder-led environments, with a willingness to build, refine, and scale processes
- A mindset of responsiveness and accessibility, with the ability to step in quickly when business-critical legal issues arise
- The executive presence, ambition, and long-term vision to grow into a future General Counsel role

Base Salary Range: $200,000 - $225,000 - dependent on seniority and applicable experience
